Additional Terms Governing Factiva on Westlaw
This Factiva Schedule is part of the Westlaw Subscriber Agreement between Subscriber and West and governs Subscriber's access to and use of the Factiva on Westlaw Databases, as identified in the Westlaw Directory, and the data and information contained therein. By using Factiva on Westlaw, Subscriber agrees to, and shall comply with, this Factiva Schedule, as well as the terms and conditions of the Westlaw Subscriber Agreement. In the event of a conflict, the provisions of this Schedule control Subscriber's use of Factiva on Westlaw. All terms used in this Schedule shall have the meanings attributed to them in the Westlaw Subscriber Agreement, and "Factiva Data" as defined below shall be included within the definition of "Data" in the Westlaw Subscriber Agreement.1. License and Limitation of License
Factiva information is the property of Dow Jones Reuters Business Interactive LLC ("Factiva") or its licensors and is protected by applicable copyright law. Data and information made available on Factiva on Westlaw ("Factiva Data") may be accessed and used only by Subscriber's employees who are members of the "Legal Market" as defined in paragraph 3 below ("Permitted Users"). Factiva Data may be manipulated, analyzed, reformatted, printed and displayed by a Permitted User on his or her terminal solely in the course of Subscriber's legal, tax, accounting and related research and work. Except as otherwise provided herein, a Permitted User may download and temporarily store insubstantial portions of Factiva Data to a storage device under Subscriber's exclusive control solely to quote from such Factiva Data (appropriately cited and credited) in memoranda, briefs and similar work product created by the Permitted User. Subscriber shall not, and shall not allow any Permitted User to reproduce, retransmit, disseminate, sell, distribute, publish, broadcast or circulate Factiva Data, except that Permitted Users may, on an occasional basis, print insubstantial portions of Factiva Data and make such printouts available in non-electronic form only to a limited number of Permitted Users for internal, non-commercial use. Subscriber acknowledges that Factiva on Westlaw may include views, opinions and recommendations of individuals or organizations whose thoughts are deemed of interest, and that West and Factiva do not endorse such views, give investment, tax or legal advice, or advocate the purchase or sale of any security.2. Charges
Charges payable by Subscriber for access to and use of Factiva on Westlaw shall be as stated in Subscriber's then-current Schedule A Price Plan to the Westlaw Subscriber Agreement. The Scope screen for each Factiva on Westlaw Database lists its classification.3. Subscriber's Representation
Subscriber represents that each Permitted User is a member of the "Legal Market." For this purpose, the "Legal Market" means (i) all lawyers, paralegals and support personnel in law firms, legal research firms and legal departments of corporations; (ii) all persons who support, enforce, administer, study, create or counsel with regard to the law in executive, legislative, and judicial branches of federal, state and local governments; (iii) tax and accounting professionals and related support staff in accounting, employee benefits, actuarial and tax consulting firms and tax and accounting departments of corporations (but not including those employees who engage in the buying and selling of negotiable financial instruments for such firms or corporations or their customers' accounts); and (iv) all faculty, students and support staff in law, tax and accounting schools. Subscriber may not permit access, use or redistribution of Factiva Data by or to any person or entity which is not a member of the Legal Market (including third parties and employees of Subscriber who are not members of the Legal Market). Subscriber acknowledges that violation of these restrictions constitutes a material breach and may result in immediate termination of Subscriber's or a Permitted User's right to access and use Factiva on Westlaw or of the Westlaw Subscriber Agreement, as set forth in paragraph 6 below.4. Disclaimer of Warranties and Liability
Due to the number of sources from which Factiva Data is obtained and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in Factiva Data. WEST, FACTIVA AND THEIR AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF FACTIVA ON WESTLAW. NEITHER WEST, FACTIVA NOR ANY OF THEIR AFFILIATES, AGENTS OR LICENSORS, SHALL BE LIABLE TO SUBSCRIBER OR ANYONE ELSE FOR ANY LOSS OR INJURY CAUSED IN WHOLE OR PART BY THEIR NEGLIGENCE OR CONTINGENCIES BEYOND THEIR CONTROL IN PROCURING, COMPILING, INTERPRETING, EDITING, WRITING, REPORTING OR DELIVERING FACTIVA ON WESTLAW. IN NO EVENT WILL WEST, FACTIVA, THEIR AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO SUBSCRIBER OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY SUBSCRIBER IN RELIANCE UPON FACTIVA ON WESTLAW OR FOR ANY CONSEQUENTIAL, SPECIAL OR SIMILAR DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, SUBSCRIBER AGREES THAT THE LIABILITY OF WEST, FACTIVA, THEIR AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM (WHETHER IN CONTRACT, TORT OR OTHERWISE) IN ANY WAY CONNECTED WITH FACTIVA ON WESTLAW SHALL NOT EXCEED THE AGGREGATE AMOUNT PAID BY SUBSCRIBER FOR THE USE OF FACTIVA ON WESTLAW IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH CLAIM.5. Modification and Notices
West may modify this Factiva Schedule at any time. Subscriber may be notified of such modifications in writing or online. Certain Factiva on Westlaw Databases are subject to additional legal restrictions and periodic notices as set forth in the Scope screen for each Factiva on Westlaw Database. Such additional legal restrictions and periodic notices may be modified from time to time. By using Factiva on Westlaw, Subscriber agrees to, and shall comply with, this Factiva Schedule as modified and the additional legal restrictions and periodic notices then in effect.6. Termination
West may terminate immediately Subscriber's or a Permitted User's access to Factiva on Westlaw or Subscriber's Westlaw subscription if West reasonably believes that Subscriber has permitted access, use or redistribution of Factiva Data by or to any person or entity which is not a member of the Legal Market (including third parties and employees of Subscriber who are not members of the Legal Market).
